1. Parties
This Client Service Agreement (“Agreement”) is entered into between:
LM Research & Marketing Consultancy (“LM Research”, “we”, “us”, “our”), and Market Research UK Agency (“MRUKA”), collectively referred to as “the Consultancy”,
and the Client (“you”, “your”).
2. Scope of Services
The Consultancy agrees to provide professional services, including, but not limited to:
- Market research
- Consumer insights
- Data collection and analysis
- Marketing strategy and consultancy
- Competitor and industry analysis
- Reporting, presentations, and recommendations
The specific scope will be defined in a written proposal, quotation, or Statement of Work (SOW).
3. Project Deliverables
Deliverables may include:
- Written reports
- Data sets
- Presentations
- Strategic recommendations
- Research findings
Deliverables are provided in digital format unless otherwise agreed.
4. Client Responsibilities
The Client agrees to:
- Provide accurate, timely information
- Supply necessary access, documents, or data
- Respond to queries and feedback requests promptly
- Ensure all shared data is lawful and compliant
The Consultancy is not responsible for delays caused by incomplete or inaccurate information.
5. Fees & Payment Terms
- Fees are outlined in the proposal or SOW.
- Invoices are payable within 14 days unless otherwise agreed.
- Late payments may incur statutory interest.
- Work may be paused if invoices remain unpaid.
- Deposits or retainers are non‑refundable unless stated otherwise.
6. Intellectual Property
- All methodologies, frameworks, and proprietary tools remain the property of the Consultancy.
- Upon full payment, the Client receives a non‑exclusive licence to use the final deliverables internally.
- Deliverables may not be resold, published, or distributed externally without written permission.
7. Confidentiality
Both parties agree to maintain strict confidentiality regarding:
- Business information
- Research data
- Client materials
- Project findings
Confidentiality obligations survive termination.
8. Data Protection
The Consultancy complies with:
- UK GDPR
- Data Protection Act 2018
A separate Data Processing Agreement (DPA) will be provided where required.
9. Research Limitations
The Client acknowledges that:
- Research is based on samples and statistical modelling
- Insights represent trends, not guarantees
- Forecasts are indicative
- External factors may influence outcomes
The Consultancy is not liable for business decisions made based on research.
10. Third‑Party Tools & Platforms
Where third‑party services are used:
- We are not responsible for their performance or availability
- The Client agrees to comply with any relevant third‑party terms
11. Liability
To the fullest extent permitted by law:
- The Consultancy excludes liability for indirect or consequential losses
- Total liability is limited to the amount paid for the specific project
- Nothing limits liability for fraud or negligence
12. Termination
Either party may terminate with written notice. Upon termination:
- Work completed must be paid in full
- Intellectual property rights revert to the Consultancy unless paid
- Any scheduled work may be cancelled without penalty
13. Use of Omnichannel Domains
The Consultancy operates a portfolio of domain names that redirect to our primary websites as part of an SEO and marketing strategy.
These domains are covered by this Agreement.

14. Affiliate Marketing & Monetisation
Some services or content may include:
- Affiliate links
- Sponsored recommendations

Compensation does not influence research integrity or consultancy advice.

By commissioning services, the Client agrees to these terms.
